BY-LAWS POWHATAN

COUNTY FAIR ASSOCIATION

ARTICLE I NAME

The name of this organization shall be the Powhatan County Fair Association.

ARTICLE II PURPOSE

SECTION 1

The purpose of this Association shall be to hold the Annual County Fair and family oriented activities that promote agriculture, education, industry, and business--which encourage organized youth activities, education, sportsmanship, and ethics. Also, maintenance of the grounds and buildings for the use of the Annual County Fair.

SECTION 2

The Association shall reserve the right to refuse exhibition and/or participation in the Powhatan County Fair or related activities.

Any action deemed to be disruptive, detrimental, or otherwise not in accordance to the purpose of the association as outlined in Article II, Section I; maybe considered as grounds for recourse and/or forfeiture of all rights and privileges to exhibit and/or participate in the Powhatan County Fair or related activities.

ARTICLE III LOCA TION

The place of business of the Association shall be the 4042 Anderson Highway, Powhatan, VA 23139. The Association has an agreement with landowners to use the

property for the purpose of holding the Annual County Fair and other community service oriented activities.

ARTICLE IV MEMBERSHIP

SECTION 1

1. The membership shall be open to any person with interest in support or service to the Association.

2. Membership fee will be $12.00 annually to be reviewed periodically 3. Active membership as described in Robert Rules of order.

SECTION 2

Each member present at the annual membership meeting shall be entitled to one vote on each issue presented. Members may not vote by proxy.

ARTICLE V OFFICERS

SECTION 1

1. The elected Officers of the Association shall be the President, Vice President, Secretary, Treasurer and Financial Secretary.

2. Upon recommendation of the Executive Committee, the Officers may appoint an Assistant Secretary and an Assistant Treasurer, if deemed necessary.

3. The election of Officers shall be held every four (4) years during the October meeting.

4. If a vacancy occurs the Executive Committee will appoint a person to fill said office until the regular election.

SECTION 2 SIGNATURES

Only one signature shall be required on all checks written by the Treasurer.

The President or Vice President shall be authorized to sign checks in the absence of the Treasurer or Financial Secretary.

SECTION 3 NOMINATIONS

A nominating committee consisting of 3 to 5 Association members shall be appointed by the President prior to the annual meeting to present a slate of officers to be voted on at the annual meeting. Nominations may be made from the floor.

All Officers must be members of the Association and a resident of Powhatan County.

ARTICLE VI EXECUTIVE COMMITTEE:

SECTION 1

The Executive Committee shall consist of the Trustees, President, Vice President, Secretary, Treasurer, Financial Secretary and two (2) representatives from each Powhatan Voting District.

The Executive Committee shall have general supervision of the affairs of the Fair Association and perform all other duties as specified by these by-laws.

The President shall be Ex-Officio of all committees of the Association except the nominating committee.

Voting District representatives are elected to serve a period of four (4) years and may succeed their position of the Executive Committee.

SECTION 2

The Executive Committee, with the General Manager, shall develop a tentative program for the annual fair.

Available committee members and the General Manager reserve the right to make a decision to close or prohibit any feature of the fair that is objectionable.

SECTION 3

The committee shall receive applications and interview management applicants. Applicant must be a member of the Fair Association.

ARTICLE VII CONTRACTS

Contracts shall be negotiated and executed by the President, Vice President, General Manager and Rental Coordinator for programs and services relating to the Annual County Fair.

ARTICLE VIII

COMMITTEES and ASSIGNMENTS

Rental and duties shall be addressed and governed by the Executive Committee if not addressed by the by-laws as far as responsibilities and duties.

ARTICLE IX NON-OFFICIAL MEMBERS

The Extension Agents from Powhatan County shall be non-official members of the Association. Non-Official members shall not have a vote.

Owners of the property shall be non-official members of the Association. Non-Official members shall not have a vote.

ARTICLE X MEETINGS

Section 1

The Association shall hold regular meetings the first Thursday at 7:30pm every month or as deemed necessary. A quorum consists of one Trustee and three Executive Committee members.

The President may call special meetings or change the regular meeting date if the need arises. The change must be made one week prior to the newly scheduled meeting, when possible.

Section 2

The annual meeting shall be held as soon as practicable after the close of the Association’s fiscal year.

Association members should attend the annual meeting of the Association in order to elect the officers that will reflect the goals and objectives of the Annual County Fair.

ARTICLE XI VOTING

Association members shall have one vote on each issue at the annual association meeting. Members may not vote by proxy.

ARTICLE XII RULES AND REGULATIONS

The set of Rules and Regulations for governing succeeding fairs may be amended or changed by a two thirds vote of those present at a meeting of the Executive Committee.

ARTICLE XIII AMENDING OR ENLARGING OF THE BY-LAWS

These by-laws may be amended, enlarged or altered by a two-thirds majority vote of at any Executive Committee meeting, with two months prior notification to members.

The by-laws may also be amended by two-thirds vote of members casting a vote at a special called meeting of the Association. Amendments or revisions shall be effective immediately upon approval.

ARTICLE XIV PARLIAMENTARY AUTHORITY

The Robert’s Rules of Order shall govern the Association on all cases to which they are applicable and in which they are not inconsistent with these by-laws.
